1. Acceptance of Terms

By accessing or using the Berrybind website and services (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Platform.

2. About Berrybind

Berrybind is a marketplace that connects humanoid robot brands, developers, and enterprise buyers globally. We facilitate introductions and business relationships but are not a party to any transaction between users unless otherwise stated.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use this Platform. By registering, you represent that you meet these requirements.

4. User Accounts & Registrations

When you submit a registration or application form on Berrybind, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Not impersonate any person or entity
• Not submit false or misleading information

Berrybind reserves the right to reject or remove any listing or registration at its sole discretion.

5. Permitted Use

You may use the Platform solely for lawful business purposes related to humanoid robotics, including listing robot products, publishing software/SDKs, or enquiring about robot deployment. You agree not to:

• Use the Platform for any unlawful or fraudulent purpose
• Transmit spam, unsolicited communications, or malicious code
• Attempt to gain unauthorised access to any part of the Platform
• Reproduce, distribute, or commercialise Platform content without written permission

6. Listings & Content

Robot brand listings, SDK publications, and other content submitted to Berrybind are subject to review. Berrybind does not guarantee that any listing will be published or maintained. We reserve the right to remove content that violates these Terms or is otherwise inappropriate.

7. Commission & Fees

For BerryCore developer listings, a 15% commission applies per completed deal facilitated through the Platform. Specific commercial terms will be agreed upon separately in writing.

8. Intellectual Property

All content on the Platform, including logos, design, text, and software, is the property of Berrybind or its licensors and is protected by applicable intellectual property laws. You retain ownership of content you submit but grant Berrybind a non-exclusive licence to display it on the Platform.

9. Disclaimers

The Platform is provided "as is" without warranties of any kind. Berrybind does not warrant that the Platform will be uninterrupted, error-free, or free of viruses. We do not endorse or verify the accuracy of any user-submitted content.

10. Limitation of Liability

To the fullest extent permitted by law, Berrybind shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform or any transactions conducted through it.

11. Changes to Terms

Berrybind reserves the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of Taiwan (Republic of China). Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Taiwan.
